1. Overview

Welcome to CWTShopNow.eu.

The terms “we”, “us” and “our” refer to CW Trade Europe B.V., trading online as CWTShopNow.eu.

We operate this website and online store, including its information, content, features, tools, products and services (the “Services”). Our store is powered by Shopify, which provides the ecommerce platform used to offer the Services.

These Terms of Service apply when you visit our website, create an account, place an order or otherwise use the Services.

By using the Services, you agree to these Terms and our other applicable policies. If you do not agree, you should not use the Services.

Nothing in these Terms affects any statutory rights that cannot legally be excluded or restricted.

2. Eligibility and customer accounts

By using the Services, you confirm that you are legally capable of entering into a contract or have the permission of a parent or legal guardian where required.

You must provide accurate and complete contact, billing, payment and delivery information.

If you create an account, you are responsible for keeping your login details secure and for activity conducted through your account. Please contact us promptly if you believe your account has been accessed without permission.

We may suspend or close an account where we reasonably believe it has been misused, compromised or used unlawfully.

3. Products and product information

We make reasonable efforts to ensure that product descriptions, specifications, compatibility information, prices and images are accurate.

Colours and appearance may vary depending on lighting, manufacturing batches and the screen or device used to view the website.

Measurements and technical information should be checked before ordering or installation. Unless expressly stated otherwise, installation services and fixings are not included.

Some products are designed to work only with components from the same system. You are responsible for checking compatibility and suitability for your intended application. If you are unsure, please contact us before ordering or installation.

This responsibility does not affect your statutory rights where a product is faulty, misdescribed or unsuitable because of inaccurate advice we supplied.

We may update, modify or discontinue products and limit available quantities where reasonably necessary.

4. Prices and VAT

Product prices are displayed in euros and include VAT where applicable, unless clearly stated otherwise.

Delivery charges and any other applicable costs will be displayed before you complete checkout.

Prices, discounts and promotions may change without notice. Changes will not affect orders that we have already accepted.

Where an obvious pricing or product-information error has occurred, we may contact you to offer the correct information or cancel and refund the affected order.

5. Placing an order

Submitting an order constitutes an offer to purchase the products in your basket.

An automated order acknowledgement confirms that we have received your order but does not necessarily mean that the order has been accepted.

A contract is formed when we confirm acceptance or dispatch the products, depending on the confirmation provided.

We may decline or cancel an order where reasonably necessary, including where:

• A product is unavailable.
• Payment cannot be authorised.
• An obvious pricing or description error has occurred.
• Delivery restrictions prevent us from fulfilling the order.
• We reasonably suspect fraud, misuse or unlawful activity.

If payment has already been taken for an order we cannot accept, we will issue a refund.

6. Payment

Payment must be made using one of the methods available at checkout.

Payments are processed securely by Shopify or the relevant payment provider. We do not normally receive or store your complete payment-card details.

You confirm that you are authorised to use the selected payment method and that the billing information supplied is accurate.

7. Delivery

Orders are dispatched from our warehouse in Amsterdam.

Estimated processing and delivery times are provided for guidance and are not guaranteed. Delivery can occasionally be affected by courier delays, public holidays, severe weather, local disruption or other circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Additional charges may apply where an incorrect address results in return or redelivery.

For consumer orders, the risk of loss or damage passes to you when the goods are delivered to you or to a person nominated by you, unless you independently arranged a carrier that we did not offer.

8. Returns, cancellation and refunds

Consumers within the European Union generally have a statutory right to withdraw from an eligible distance contract within 14 days of receiving the goods, subject to applicable exclusions.

We also offer the additional return period described in our Returns & Refunds Policy.

Products should not be installed, modified or used beyond what is reasonably necessary to inspect them if you intend to return them as unwanted.

Separate rules may apply to goods that are personalised, made to specification, sealed for health or hygiene reasons, or otherwise excluded from the statutory right of withdrawal. Any relevant exclusion will be explained before purchase where applicable.

Nothing in our returns policy affects your legal rights when goods are faulty, damaged, misdescribed or otherwise fail to conform to the contract.

9. Consumer guarantees

Products supplied to consumers are covered by applicable statutory guarantees.

We do not exclude or restrict responsibility for supplying goods that conform to their description, are of satisfactory quality and are reasonably fit for any purpose made known to us where applicable law requires this.

Any manufacturer’s warranty is provided in addition to, and does not replace, mandatory consumer rights.

10. Installation and use

Products must be installed and used in accordance with their instructions, intended purpose and any applicable safety requirements.

Installation should be performed by a competent person where appropriate.

We are not responsible for damage caused by:

• Incorrect installation.
• Unsuitable or incompatible fixings.
• Use outside the product’s intended application.
• Modification of the product.
• Failure to follow instructions or maintenance guidance.
• Normal wear and tear.
• Misuse, neglect or accidental damage.

This section does not limit responsibility for defective products, inaccurate instructions or any liability that cannot legally be excluded.

11. Intellectual property

All website content—including text, photographs, graphics, videos, logos, branding, layouts and product information—is owned by or licensed to CW Trade Europe B.V. unless stated otherwise.

You may use the website for personal or internal business purchasing purposes.

You may not copy, reproduce, republish, distribute, modify, scrape or commercially exploit our content without prior written permission or another lawful basis.

Product names and trademarks belonging to manufacturers or other parties remain the property of their respective owners.

12. Reviews, feedback and submitted content

If you voluntarily provide a product review, photograph, suggestion or other content, you confirm that:

• You have the right to submit it.
• It is accurate and not misleading.
• It does not infringe another person’s rights.
• It is not unlawful, abusive or harmful.

You grant us a non-exclusive, royalty-free right to display and use submitted content in connection with our business and marketing.

We may moderate or remove submitted content where reasonably necessary.

Our store is powered by Shopify, but purchases made through this store are contracts between you and CW Trade Europe B.V. Shopify is not the seller of our products.

16. Website availability and errors

We aim to keep the website accurate and available, but we cannot guarantee uninterrupted or error-free access.

We may correct errors, inaccuracies or omissions and update information where reasonably necessary.

17. Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

• Death or personal injury caused by negligence.
• Fraud or fraudulent misrepresentation.
• Wilful misconduct or gross negligence where it cannot legally be excluded.
• Breach of mandatory consumer rights.
• Any other liability that cannot be excluded under applicable law.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of contract or failure to use reasonable care and skill.

We are not responsible for losses that were not foreseeable when the contract was formed or for business losses incurred by a consumer.

If you purchase in the course of a business, trade or profession, then—to the fullest extent permitted by law—we will not be liable for indirect or consequential loss, loss of profit, loss of business, loss of anticipated savings or loss of opportunity.

For business purchases, our total liability relating to an order will not normally exceed the amount paid for the product giving rise to the claim, except where liability cannot legally be limited.

18. Events outside our control

We are not responsible for delay or failure caused by circumstances outside our reasonable control.

These may include transport disruption, courier failures, severe weather, fire, flood, industrial action, government restrictions, customs disruption, war, civil unrest, telecommunications failure or interruption to essential suppliers.

We will take reasonable steps to minimise the effect and will contact affected customers where appropriate.

19. Suspension and termination

We may suspend or terminate access to the Services if you materially breach these Terms, misuse the website or engage in fraudulent or unlawful activity.

Termination does not affect rights or obligations that arose before termination.

20. Severability and waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

A failure or delay in enforcing a right does not mean that the right has been waived.

21. Assignment

You may not transfer your contractual rights or obligations without our consent, except where applicable law allows otherwise.

We may transfer our rights or obligations as part of a restructuring, sale or transfer of the business, provided this does not reduce a consumer’s mandatory rights. We will provide notice where required by law.

22. Governing law and disputes

These Terms and contracts made through the Services are governed by the laws of the Netherlands.

If you are a consumer resident elsewhere in the European Union or European Economic Area, this choice of law does not deprive you of mandatory protections provided by the law of your country of residence.

Consumers may bring proceedings in any court that has jurisdiction under applicable consumer-protection law, including the courts of their country of residence where permitted.

Business customers agree that the courts of the Netherlands will have jurisdiction over disputes arising from these Terms or an order.

We encourage customers to contact us first so that we can try to resolve any disagreement directly.

23. Changes to these Terms

We may update these Terms to reflect changes to our Services, business practices or legal obligations.

Changes apply from the date the revised Terms are published and will not retrospectively alter an order or contract already accepted unless required by law or agreed with you.

The “Last updated” date will be revised when changes are made.

24. Entire agreement

These Terms, together with our Privacy Policy, Shipping Policy and Returns & Refunds Policy, form the agreement between you and us in relation to use of the Services and any accepted order.

Nothing in this section limits statements or representations that cannot legally be excluded.
